Terms of Service

1. Service Agreement

These Terms constitute a legally binding agreement between you ("Client") and Arun Tyagi. Each project will be governed by a separate project agreement or statement of work that details specific deliverables, timelines, and payment terms.

2. Web Development Services

We provide professional web development services including but not limited to:

• Custom website and web application development
• Frontend and backend development using modern technologies (Laravel, React.js, PHP, WordPress, etc.)
• Responsive design and mobile optimization
• API development and integration
• Website maintenance and support
• Performance optimization and SEO services
• Consultation and technical advisory services

3. Project Scope and Deliverables

The scope of work, deliverables, timelines, and specifications for each project will be clearly defined in the project agreement. Any changes to the scope must be agreed upon in writing and may result in additional charges.

4. Client Responsibilities

As the Client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond promptly to requests for feedback, approvals, and content
• Provide access to necessary accounts, servers, and third-party services
• Ensure you have the legal right to use any content, images, or materials provided
• Make timely payments as specified in the project agreement
• Comply with all applicable laws and regulations

5. Payment Terms

Payment terms will be specified in each project agreement. Generally:

• Projects may require an upfront deposit (typically 30-50% of total project cost)
• Remaining balance is due upon project completion or according to milestone payments
• Payment is typically due within 7-14 days of invoice date
• Late payments may incur interest charges or result in suspension of services
• All prices are in the currency specified in the project agreement

6. Intellectual Property Rights

Upon full payment: Ownership of custom-developed code, designs, and deliverables will transfer to the Client, subject to the following:

• We retain the right to use general knowledge, skills, and techniques gained during the project
• Third-party components, libraries, and frameworks remain subject to their respective licenses
• We may showcase completed projects in our portfolio (unless otherwise agreed)
• Pre-existing code, tools, and frameworks developed by us remain our property

7. Revisions and Change Requests

Minor revisions are typically included in the project scope. Significant changes or additions to the original scope will be treated as change requests and may result in additional charges and timeline adjustments. All change requests must be approved in writing before implementation.

8. Project Timeline

Project timelines are estimates based on the agreed scope. Delays caused by:

• Client delays in providing content, feedback, or approvals
• Scope changes or additional requirements
• Third-party dependencies or external factors

may result in timeline adjustments. We will communicate any delays promptly and work to minimize their impact.

9. Warranty and Support

We provide a warranty period (typically 30-90 days) after project completion for bug fixes and corrections related to our work. This warranty covers:

• Fixes for bugs and errors introduced during development
• Corrections for non-compliance with agreed specifications

Warranty does not cover:

• Changes or modifications made by third parties
• Issues arising from third-party services or plugins
• Changes requested after project completion
• Ongoing maintenance and updates (available as separate service)

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims shall not exceed the total amount paid by the Client for the specific project
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for third-party services, hosting, or external dependencies
• We are not liable for data loss; Clients are responsible for maintaining backups

11. Cancellation and Termination

Either party may terminate a project agreement with written notice. Upon termination:

• Client is responsible for payment for all work completed up to the termination date
• We will deliver completed work and source files (upon full payment)
• We are not obligated to continue work after termination
• Deposits are non-refundable unless otherwise specified

12. Confidentiality

We agree to maintain confidentiality of your business information, project details, and proprietary data shared during the course of our engagement, except where disclosure is required by law or with your explicit consent.

13. Third-Party Services

Projects may involve third-party services (hosting, APIs, plugins, etc.). We are not responsible for:

• Third-party service availability, performance, or pricing changes
• Compliance with third-party terms of service
• Issues arising from third-party service modifications or discontinuation

14. Indemnification

Client agrees to indemnify and hold harmless Arun Tyagi from any claims, damages, or expenses arising from:

• Client's use of delivered work in violation of applicable laws
• Content or materials provided by Client that infringe third-party rights
• Client's breach of these Terms or project agreement

15. Dispute Resolution

In the event of disputes, both parties agree to:

1. First attempt to resolve disputes through good faith negotiation
2. If negotiation fails, pursue mediation before legal action
3. Any legal proceedings shall be governed by the laws of the jurisdiction specified in the project agreement

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing clients. Continued use of our services after changes constitutes acceptance of modified Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
